whether we should not offer you
spontaneously and to assuage any disappointment you might feel at my having so far been unable to
move the Texaco in regard to the change of basis on which to charge our commission - share in the profits due to us in case the oil is acld at a profit on its cost, the New York official price.
Last but not leas, and apart from any arrangement between us, what fairer division of the commission can you expect than that you have 60% and we 40% of the commission the Texaco allows us ! And, of course, Hongkong has other indirect profits arising from the agency; and we must, furthermore, not overlook the feat that, though a fat 1/2 % goes into the pookets of their compradores, also this is of indirect benefit to your Hongkong friends. The former distri-
butors compradores were, unless I am very much mistaken, satisfied with 1/4 %, seeing that the business is cash and runs into figures.
Our Agreement thus requires the following changes to
oover the alterations, viz:
Clause 1: Reiss & Jo. to be the Distributing Agents of the Texas Company (instead of Advisors) in Hongkong, Canton and the other places in the territory which is to be defined according to
my Company's contract with the Texaco.
Commission to be 3 %, Reiss paying their compradores and every other expense which is not chargeable to the Texaço, 80- cording to previous cargoes (the Paname cargo is not to be the basis, because Cheetham may have charged items which should not have been charged to the Texaco).
Clause 2: Reiss to do their utmost in furthering the Texas
and our mutual interests, to extend the sales, and to be debarred from handling directly or indirectly any other petroleum products.
Clause 3: the term of the agreement to be for as long as
my Company hold the agency. (N.B. This surely is better than an unattainable term of three years. In any case, we camot give more than we have ourselves.)
Clause : Unaltered. This is the clause debarring Reiss
from touching this business without our consent - self understood
